2. Subject and nature of the service

2.1. The Provider offers the customer (hereinafter: Subscriber) an artificial-intelligence-based web chat assistant service (hereinafter: Enéh or the Service) in a SaaS (Software-as-a-Service) model.

2.2. The Service is a managed B2B service. Based on the Subscriber's website and the business data provided, the Provider builds a closed knowledge base and supplies the associated web chat widget and the management interface (dashboard).

3. Ordering, payment terms and Stripe integration

3.1. Only businesses, sole traders and legal entities (B2B) may subscribe to the Service.

3.2. Payment method: Payment is made solely through Stripe's (Stripe, Inc.) automated card payment system, in the form of a recurring monthly subscription.

3.3. Plans and allowances:

3.4. Definition of a conversation: A conversation is one visitor session, regardless of the number of messages the visitor sends. A new conversation starts after 1 hour of inactivity.

3.5. Spend safeguard (over-limit): When the monthly conversation allowance is exhausted, the system automatically switches to a notice message directing the visitor to the Subscriber's direct contact details. No overage fee or hidden extra cost is charged.

3.6. Invoicing: The Provider sends the Subscriber a NAV-compatible e-invoice for the fees, issued automatically through the Számlázz.hu system.

4. Key limitation of liability and AI technology (important)

4.1. Use of third-party AI models: In its operation, the Enéh chat assistant uses artificial-intelligence language models and APIs provided by third parties, in particular Anthropic, PBC (Claude) and OpenAI, LLC (GPT).

4.2. Fallibility inherent to AI (hallucination): Due to the way AI-based language models work, they are not infallible and may generate inaccurate, incorrect, incomplete or misleading information (so-called AI hallucination).

4.3. Full disclaimer for the chatbot's answers: The Provider fully excludes its liability for any direct or indirect damage, lost profit, lost business opportunity or third-party claims arising from the chatbot's answers, from incorrect information given to customers, or from misunderstandings or typos.

4.4. The Subscriber's obligations and review: The Subscriber acknowledges that the chatbot's answers do not constitute a legally binding offer or an official statement. The Subscriber is obliged to review the knowledge base and the chatbot's answers regularly via the dashboard, and to correct any inaccuracies without delay.

4.5. Reservations and quote requests: Reservation and quote-request intents recorded by the assistant are for information only. A reservation or order does not become final until a member of the Subscriber's staff confirms it to the customer in writing or by phone.

5. Data protection, GDPR and AI compliance

5.1. Processor capacity: For data provided by visitors while using the chat widget, the Subscriber is the Controller and the Provider is the Processor.

5.2. EU processing: The Provider runs AI processing – where technologically available – on servers located within a European Union region.

5.3. No use for training: The Provider guarantees that it does NOT use the Subscriber's business data or chat history to train public artificial-intelligence models.

5.4. Data retention: Conversation history is automatically deleted from the system after 90 days by default.

5.5. EU AI Act compliance: The chat widget contains a built-in indicator that transparently informs users that they are communicating with an artificial intelligence.

6. System availability and maintenance (SLA)

6.1. The Provider aims for 99.5% annual availability.

6.2. The Provider accepts no liability for outages resulting from downtime of external API providers (Anthropic, OpenAI, Stripe, Számlázz.hu) or from network faults.

7. Lock-in, cancellation and amendment

7.1. The service is a monthly subscription of indefinite duration, with no lock-in period.

7.2. The Subscriber may cancel the subscription at any time via the Stripe customer portal or by email to the Provider. Cancellation takes effect at the end of the already-paid current month.

7.3. The Provider is entitled to unilaterally amend these Terms and the prices, of which it notifies the Subscriber by email at least 30 days in advance.

8. Disputes and governing law

8.1. In matters not regulated by these Terms, Hungarian law, in particular the provisions of the Civil Code (Ptk.), shall apply.

8.2. The parties shall attempt to settle any disputes primarily amicably, through negotiation. Failing that, the Hungarian court with jurisdiction over the Provider's seat shall have exclusive jurisdiction.
